Odredbe i uvjeti korištenja royalty-free fotografija

1. These Terms and Conditions constitute a legal Agreement between you and STUDIO R.

2. Definitions

A «Royalty-Free Photograph» is a photograph for which a buyer pays a one-time licence fee depending on the size of a photograph. Once purchased, the photograph can be used for multiple projects over an indefinite period of time without any recurring royalty payment, providing that it is used pursuant to the Terms and Conditions of Use listed below. A Royalty-Free Photograph is sold on a non-exclusive basis.

«Terms» means the Terms and Conditions set forth in this Agreement, including the Terms set forth in the Licence Confirmation.

«Copyright Owner» is STUDIO R.

«Photographs» means the photographs you have selected being the subject of the Licence Confirmation.

«Licence to Use» is a non-exclusive, non-sub-licensable right STUDIO R grants to you or your employer, if you are ordering Photographs on behalf of your employer, to use the Photographs you have selected.

«Licence Confirmation» is the part of this Agreement granting you limited reproduction rights over the Photographs to which it refers.

«Licence Fee» means any amount received by STUDIO R from you regarding the Licence to Use.

«Reproduction» means any form of copying or publication of the whole or part of any Photograph, by printing, projection, electronic, digital or mechanical means, use as a reference or by any other means.

«Release» means an adult Release, property Release or any other release of third parties, necessary or desirable to obtain with respect to the Photographs.

3. Contracting Parties

The Parties to this Agreement are you and STUDIO R. If you are entering into this Agreement on behalf of your employer, the licence granted and limitations set forth herein shall apply to your employer and to you as a representative of your employer. If you stop working for your employer, your employer may continue to operate under this Agreement and your rights under this Agreement will be terminated.

5. Grant of Licence

By purchase of Royalty-Free Photographs STUDIO R grants you the right to use them for the following purposes:

a) Materials for promotion, advertising, presentation and brochures;

b) Web page design and other electronic distribution systems;

c) Products, including products for sale;

d) Calendars, greeting cards, post cards and posters;

e) Publications (in electronic of printed form);

f) As décor in an office, lobby, public area or restaurant;

g) Materials for personal, non-commercial use;

6. Limitations in the use of Photographs

The purchased Royalty-Free Photographs may not be used for the following purposes:

a) The Photographs may not be sublicensed, resold or otherwise made available for use separated from a product or a web page;

b) The Photographs may be an integral part of a web page design, but may not be made available for downloading separately or in a format intended for permanent storage or re-use by website users;

c) Use of Photographs as logos or trademarks of a product or a company;

d) Use of Photographs in discriminatory, pornographic or otherwise unlawful purposes;

e) Use of a Photograph featuring a person in a way that implies connection of the person to a product or service unless such use is accompanied by a statement that the person is a model and is used for illustrative purposes only;

f) Use of a Photograph featuring a person in relation to a potentially controversial subject unless such use is accompanied by a statement that the person is a model and is used for illustrative purposes only;

7. Copyright

By purchase of a Licence to Use no ownership or copyright of STUDIO R over any photograph shall be transferred to you. For any Photograph you purchase you must provide copyright protection.

8. Licence Not Transferable

Reproduction rights may not be transferred. They are granted to you or your employer.

9. Guarantee and Limitation of Liability

STUDIO R guarantees the digital Photographs purchased by you to be free from defects in material and workmanship for 10 days from delivery. The only remedy for a breach of an afore-going warranty is the replacement of the digital Photograph or refund of the Licence Fee paid by you.

STUDIO R provides no other express or implied guarantees of merchantability or fitness of a Photograph for a particular purpose.

In no event will STUDIO R be held liable and responsible for any direct, indirect, special, incidental or consequential loss or damage, lost profits or other damages arising out of this Licence or otherwise.

10. Copying and Storage

The Photographs may not be copied or electronically stored except for your internal administration purposes.

11. Unauthorised Use of Photographs

You agree to indemnify and hold STUDIO R harmless against any claim for damages, losses or any costs arising from the unauthorized use of Photographs supplied to you by STUDIO R, or for your breach of any of the Terms of this Agreement.

12. Release

STUDIO R provides no guarantees as to the existence of any Release associated with the Photograph.

STUDIO R provides no guarantees with respect to the use of names, trademarks, logos, design or works of art that may be depicted in the Photograph.

All necessary rights and permissions as may be required for reproduction of a Photograph have been secured.

13. Licence Fee

The Licence Fee for the reproduction of a Royalty-Free Photograph under the Licence Confirmation depends on the size of the Photograph. Since all our Photographs are similar in size, they are priced at identical prices.

In the event that you wish to use the Photograph for any other purposes other than those set forth in Clause 5 of these Terms you must notify STUDIO R and pay the additional Licence Fee.

14. Payment

The reproduction of Photographs can take place only after your payment for ordered Photographs is received by STUDIO R.

15. Licence Cancellation

Once you have purchased the Photographs you may not cancel the License to Use except in case of technical deficiency in the Photographs, in which case you must notify STUDIO R within 10 days.

STUDIO R does not refund any Licence Fees, regardless of whether reproduction has taken place or not, except in case of technical deficiency in the Photograph.

16. Condition of Photographs

Please make sure that you check the Photograph you intend to use for possible deficiencies before sending it for reproduction. STUDIO R shall not be liable for any loss or damage suffered by you or any third party arising from any alleged or actual deficiency in any Photograph or its reproduction.

17. Applicable Law

Any disputes arising in connection with this Agreement will be subject to jurisdiction of Croatian courts.

18. Alterations to the Terms and Conditions

STUDIO R reserves the right to modify these Terms at any time. The updated Terms will be enforceable immediately upon being posted on this website.

1. Ove odredbe i uvjeti predstavljaju pravni sporazum između Vas i STUDIA R.

2. Definicije

«Royalty-free fotografija» označava fotografiju za koju se plaća jednokratna naknada za licencu i to na osnovi dimenzija fotografije. Nakon kupnje fotografija se može višekratno koristiti u neograničenom vremenu bez dodatnog plaćanja, pod uvjetom da se prilikom korištenja pridržavate odredbi i uvjeta korištenja navedenih u nastavku. Royalty-free fotografija prodaje se na neekskluzivnoj osnovi.

Izraz «odredbe» označava odredbe i uvjete navedene u ovom sporazumu, uključujući odredbe koje sadrži potvrda licence.

«Vlasnik autorskih prava» je STUDIO R.

«Fotografije» su one fotografije koje Vi izaberete i koje su predmetom potvrde licence.

«Licenca za korištenje» je neekskluzivno pravo koje nije moguće dati u podlicencu, a koje STUDIO R daje Vama ili Vašem poslodavcu, ako naručujete u ime poslodavca, za korištenje izabrane fotografije.

«Potvrda licence» je dio ovog sporazuma kojim dobivate ograničena prava reproduciranja fotografije na koju se ista odnosi.

«Naknada za licencu» označava iznos koji STUDIO R primi od Vas u vezi licence za korištenje.

«Reproduciranje» označava bilo koji oblik umnožavanja ili objavljivanja fotografije u cijelosti ili njenog dijela, bilo putem tiskanja, projekcije, elektronskih, digitalnih ili mehaničkih sredstava, korištenja u referentne svrhe ili na bilo koji drugi način.

«Suglasnost» označava suglasnost odrasle osobe, suglasnost u vezi imovine ili ustupanje bilo kojih prava trećih osoba koje je potrebno ili poželjno pribaviti u vezi fotografija.

3. Ugovorne stranke

Ugovorne stranke prema ovom sporazumu ste Vi i STUDIO R. Ukoliko ulazite u ovaj ugovorni odnos u ime Vašeg poslodavce, dobivena licenca i navedena ograničenja primjenjuju se na Vašeg poslodavca i na Vas kao predstavnika Vašeg poslodavca. Ukoliko prestanete raditi za Vašeg poslodavca, isti može nastaviti s poslovanjem prema ovom sporazumu, a Vaša prava iz istog prestaju.

5. Izdavanje licence

Kupnjom royalty-free fotografija STUDIO R Vam daje pravo njihovog korištenja u sljedeće svrhe:

a) materijali za promociju, oglašavanje, prezentaciju i brošure;

b) dizajniranje web stranica i drugih elektronskih sustava distribucije;

c) proizvodi, uključujući proizvode namijenjene prodaji;

d) kalendari, čestitke, razglednice i posteri;

e) publikacije (u elektronskom ili tiskanom obliku);

f) kao dekoracija u uredu, predvorju, javnom prostoru ili restoranu;

g) materijali za osobnu, nekomercijalnu uporabu;

6. Ograničenja u korištenju fotografija

Nije dozvoljeno korištenje kupljenih royalty-free fotografija u sljedeće svrhe:

a) davanje fotografija u podlicencu, preprodaja ili korištenje na neki drugi način odvojeno od proizvoda ili web stranice;

b) fotografije mogu biti sastavni dio dizajna web stranice, ali ne smiju biti dostupne za downloading ili u formatu namijenjenom za trajno pohranjivanje ili ponovnu uporabu od strane korisnika web stranice;

c) korištenje fotografija kao logotipa ili zaštitnog znaka nekog proizvoda ili tvrtke;

d) korištenje fotografija u diskriminacijske, pornografske ili bilo koje druge nezakonite svrhe;

e) korištenje fotografije osobe na način koji implicira njenu povezanost s proizvodom ili uslugom ukoliko ne uključite izjavu da je ta osoba model i da se koristi samo u ilustrativne svrhe;

f) korištenje fotografije osobe u vezi potencijalno kontroverzne teme ukoliko ne uključite izjavu da je ta osoba model i da se koristi samo u ilustrativne svrhe;

7. Autorska prava

Kupovinom licence vlasnička ili autorska prava STUDIA R nad fotografijama ne prelaze na Vas. Za svaku kupljenu fotografiju dužni ste osigurati zaštitu autorskih prava.

8. Neprenosivost licence

Dobivena reprodukcijska prava su neprenosiva. Ona su dana Vama ili Vašem poslodavcu.

9. Jamstvo i ograničenje odgovornosti

STUDIO R jamči da digitalna fotografije koju ste kupili nema nedostataka u materijalu ili izradi u roku od 10 dana od isporuke. Jedina naknada u slučaju povrede jamstva je zamjena digitalne fotografije ili refundiranje plaćene naknade za licencu.

STUDIO R ne daje nikakva druga izravna ili implicitna jamstva, uključujući bez ograničenja bilo koja implicitna jamstva vezana za tržišni potencijal ili prikladnost fotografije za neku određenu svrhu.

STUDIO R neće ni u kom slučaju snositi odgovornost za bilo kakvu izravnu, neizravnu, posebnu, slučajnu ili posljedičnu štetu, gubitak dobiti ili neku drugu štetu proizašlu iz ove licence ili na neki drugi način.

10. Umnožavanje i pohranjivanje

Fotografije se ne smiju umnožavati ili elektronski pohranjivati, osim za Vaše interne administrativne svrhe.

11. Neovlašteno korištenje fotografija

Suglasni ste da ćete nadoknaditi štetu i osloboditi STUDIO R odgovornosti u slučaju bilo kakvih odštetnih zahtjeva, gubitaka ili drugih troškova nastalih neovlaštenim korištenjem fotografija koje Vam je dostavio STUDIO R, ili u slučaju Vašeg kršenja uvjeta ovih odredbi.

12. Suglasnost

STUDIO R ne daje nikakva jamstva u pogledu eventualno potrebnih suglasnosti u vezi fotografije.

STUDIO R ne daje nikakva jamstva u pogledu korištenja naziva, logotipa, zaštitnih znakova, dizajna ili umjetničkih djela s autorskim pravima, koja mogu biti prikazana na fotografiji.

Sva potrebna prava i dozvole koje mogu biti zatražene za reproduciranje fotografije su osigurana.

13. Naknada za licencu

Naknada za licencu za reproduciranje fotografije prema potvrdi licence ovisi o veličini fotografije. Budući da su sve naše fotografije sličnih dimenzija, naplaćuju se po istoj cijeni.

U slučaju da fotografiju želite koristiti u druge svrhe osim onih navedenih pod točkom 5. ovih odredbi dužni ste o tome obavijestiti STUDIO R i platiti dodatnu naknadu za licencu.

14. Plaćanje

Reproduciranje fotografija dozvoljeno je nakon što STUDIO R primi Vašu uplatu za naručene fotografije.

15. Raskid licence

Licencu za korištenje fotografije nije moguće raskinuti nakon kupnje fotografije osim u slučaju tehničkih nedostataka na fotografiji u kom slučaju o tome morate obavijestiti STUDIO R u roku od 10 dana.

STUDIO R ne refundira plaćenu naknadu za licencu, bez obzira da li je došlo do reproduciranja ili ne, osim u slučaju tehničkog nedostatka na fotografiji.

16. Stanje fotografija

Molimo Vas da prije slanja fotografije na reproduciranje provjerite fotografiju koju namjeravate koristiti glede eventualnih nedostatka. STUDIO R ne preuzima odgovornost za bilo kakve gubitke ili štete koje pretrpite Vi ili neka treća stranka proizašle iz navodnog ili stvarnog nedostatka na fotografiji ili iz njenog reproduciranja.

17. Sudska nadležnost

Za eventualne sporove proizašle u vezi ovog sporazuma nadležno je hrvatsko zakonodavstvo.

18. Izmjena odredbi

STUDIO R zadržava pravo izmjene ovih odredbi u bilo koje doba. Ažurirane odredbe stupaju na snagu neposredno nakon objave na ovim web stranicama.
